1) Acceptance
By clicking "I agree", submitting an application to become a trainer, or accepting a booking on SabaiFit, you ("Trainer", "you") agree to this Trainer Services Agreement (the "Agreement") and to our Terms of Service, Privacy/PDPA Policy, Cookie Policy, and any policy referenced here (collectively, the "Policies").
2) Relationship of the Parties (Independent Contractor)
- You are an independent contractor, not an employee, agent, or partner of SabaiFit.
- You control how you deliver sessions, subject to this Agreement and applicable law.
- You're responsible for your taxes, permits, licenses, and insurance.
3) Service Overview
SabaiFit operates a platform that helps customers ("Customers") discover and book in-person personal training sessions in Bangkok and surrounding areas. You provide the actual training services to Customers; SabaiFit is not a gym and does not supervise your sessions.
4) Eligibility, Verification, and Profile
- You warrant that all information you provide (identity, certifications, specialties, photos) is true and current.
- You consent to reasonable verification of credentials and identity.
- Keep your profile accurate (rates in credits, locations served, availability).
- SabaiFit may approve or decline applications at its discretion and may revoke access for safety, fraud, or quality concerns.
5) Platform Rules & Exclusivity (No Circumvention)
- For any Customer first introduced via SabaiFit, you agree to book and accept payment only through SabaiFit for 6 months from first contact ("Exclusivity Period").
- No off-platform solicitation (e.g., asking for direct bank/PromptPay, phone-only deals).
- Circumvention or attempts to bypass payments may lead to removal, account suspension, and forfeiture of unpaid amounts arising from the violating bookings.
6) Rates, Commissions, and Payouts
6.1 Rates & Currency
- You set your session rates in credits (1 credit ≈ 1 THB).
- Taxes (if applicable) are included in your displayed rate unless otherwise required by law.
6.2 Commission Schedule
SabaiFit retains a commission on the gross session price for each completed session:
- Tier 1: 0–30 completed sessions → 20%
- Tier 2: 31–90 completed sessions → 18%
- Tier 3: 91+ completed sessions → 15%
Quality gate: If your rolling average rating falls below 4.5★, SabaiFit may apply 20% until your average returns to ≥ 4.5★.
6.3 Payouts
- Net earnings (after commission and adjustments) are paid weekly on Mondays for sessions completed in the prior week.
- Payout method: Thai bank account or PromptPay you provide. Keep your payout details accurate.
- SabaiFit may delay or withhold payouts for fraud review, legal compliance, or chargebacks/refunds related to your sessions.
7) Bookings, Cancellations, and Refunds
- A booking is confirmed only when you accept it in-app.
- Show up on time and prepared. Mark sessions complete promptly. Unconfirmed sessions may auto-complete 3 hours after the scheduled end.
- If you cancel a confirmed session, the Customer receives a 100% credit refund. Repeated cancellations may affect your listing.
- Customer cancellations follow the Customer Terms refund rules (for reference):
- > 12h before start → 100% credits back
- 2–12h before → 50% credits back
- <2h/no-show → 0% credits back
- SabaiFit may issue refunds or adjustments consistent with platform policies and will reflect such movements in the ledger.
8) Conduct, Safety, and Location Requirements
- Deliver sessions professionally and within scope of your certifications.
- Use safe, appropriate locations (e.g., condo gyms with permission, private gyms, suitable open areas).
- No harassment, discrimination, or unsafe practices.
- If a safety issue occurs, contact emergency services first, then inform SabaiFit at support@sabaifit.com.
9) Customer Data & Confidentiality
- Treat Customer personal data and health notes as confidential.
- Use Customer information only to deliver the booked session.
- Comply with the PDPA and our Privacy/PDPA Policy. Do not export or store sensitive data outside approved systems.
10) Content & Intellectual Property
- You grant SabaiFit a non-exclusive, worldwide, royalty-free license to use your profile information, photos, and public content for operating and marketing the marketplace.
- You represent you have the rights to all content you upload.
- SabaiFit may remove content that violates law, IP rights, or policies.
11) Tools, Equipment, and Expenses
You provide and maintain your own equipment (e.g., mats, bands) and cover your own expenses (travel, data, venue fees), unless otherwise agreed in writing.
12) Insurance
You are responsible for obtaining and maintaining any personal or professional insurance suitable for your activities. SabaiFit does not provide insurance for your sessions.
13) Taxes & Compliance
You are solely responsible for taxes arising from your earnings. SabaiFit may issue receipts or withhold where required by law.
14) Reviews and Quality
- Customers may rate and review sessions.
- SabaiFit may display, moderate, or remove reviews per policy.
- Quality may impact your commission tier eligibility (see §6.2).
15) Fees, Chargebacks, and Adjustments
- You authorize SabaiFit to offset amounts owed (e.g., chargebacks, refunds) against your future payouts.
- SabaiFit maintains an immutable ledger of credits, charges, and adjustments. You can view your history in-app.
16) Suspension and Termination
- SabaiFit may suspend or terminate access for policy breaches, safety concerns, fraud, or repeated poor performance.
- You may terminate at any time via the app or by emailing support@sabaifit.com.
- On termination, confirmed upcoming sessions may be canceled and Customers refunded; your final payout will reflect completed sessions and adjustments.
17) Warranties & Disclaimers
- You warrant you are properly certified, legally able to offer training in Thailand, and will comply with all laws.
- SabaiFit provides the platform "as is" and does not guarantee Customer demand or specific outcomes.
18) Limitation of Liability; Indemnity
- To the extent permitted by law, SabaiFit's total liability to you for claims arising out of this Agreement shall not exceed THB 10,000 or the commissions earned by SabaiFit from your sessions in the preceding 12 months, whichever is higher.
- You will indemnify and hold harmless SabaiFit from claims arising out of your services, misconduct, unlawful acts, or breach of this Agreement.
19) Changes to this Agreement
We may update this Agreement. We will notify you in-app or by email. Continued use (including accepting bookings) after the effective date constitutes acceptance. Where required, we may prompt you to re-accept.
20) Governing Law & Dispute Resolution
This Agreement is governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have exclusive jurisdiction, without prejudice to any mandatory consumer rights.

22) Entire Agreement
This Agreement, together with the Policies, is the entire agreement between you and SabaiFit regarding trainer services on the platform and supersedes prior understandings.
Annex A — Commission Tiers (Reference)
- Tier 1: 0–30 completed sessions → 20%
- Tier 2: 31–90 → 18%
- Tier 3: 91+ → 15%
Quality gate: Rolling average rating must remain ≥ 4.5★ or default to 20% until restored.
Annex B — Payout Schedule (Reference)
- Weekly on Mondays, covering sessions completed Mon–Sun of the prior week.
- Destination: Thai bank / PromptPay you configure. Processing or bank delays may apply.
Annex C — Cancellation & Refund Logic (Reference)
Customer cancels:
- > 12h → 100% credits back
- 2–12h → 50% back
- <2h/no-show → 0%
Trainer cancels:
Customer receives 100% credits back.
SabaiFit may grant adjustments or goodwill credits per policy.

By accepting this agreement, you acknowledge that you have read, understood, and agree to be bound by these terms. This agreement supersedes all previous agreements between the parties.
